These Terms of Service ("Terms") govern your use of the website onvyrodigital.com (the "Site") and any services provided by Onvyro Digital ("we", "us", or "our"). By using the Site or engaging our services, you agree to these Terms.
1. About our services
Onvyro Digital provides Amazon brand services, including but not limited to PPC management and profit optimization, listing and SEO optimization, conversion rate optimization, catalogue management, A+ content, creative production, and consulting. The specific scope, deliverables, fees, and timelines for any engagement are set out in a separate proposal or service agreement provided to you ("Service Agreement"). Where these Terms and a signed Service Agreement conflict, the Service Agreement prevails.
2. Free audits and consultations
Any free audit, analysis, or consultation we provide is offered for your information and carries no obligation on either side. It does not create a client relationship until a Service Agreement is signed.
3. Engagements, fees, and payment
- Fees, billing cycles, and any minimum commitment (for example, the 90-day minimum on PPC Profit Rescue) are stated in your Service Agreement.
- Retainer fees are billed in advance of each service period unless agreed otherwise. One-time project fees are billed as set out in the relevant agreement.
- Advertising spend on Amazon is paid by you directly to Amazon and is separate from our service fees.
- Late or missed payments may result in work being paused until the account is brought current.
4. Client responsibilities
To deliver our services, we may need timely access to your Amazon Seller Central and/or Advertising accounts, product information, and approvals. You are responsible for providing accurate information and the access required, and for ensuring you have the right to grant that access. Delays in access or feedback may affect timelines and results.
5. Results and no guarantee
We bring genuine expertise and effort to every account, and the results shown on this Site reflect real outcomes from past work. However, Amazon performance depends on many factors outside our control — including your product, pricing, inventory, competition, reviews, and changes to Amazon's platform and policies. Past results are not a guarantee of future performance, and we do not guarantee any specific sales, ranking, or profit outcome.
6. Confidentiality
We treat your business information and account data as confidential and use it only to provide the services you engage us for. We expect the same treatment of any confidential information we share with you, such as our methods and deliverables.
7. Intellectual property
- Final deliverables we create for you (such as creatives, copy, and A+ content) become yours upon full payment, unless your Service Agreement states otherwise.
- We retain ownership of our underlying tools, templates, processes, and know-how.
- The content, design, and branding of this Site remain the property of Onvyro Digital and may not be copied or reused without permission.
8. Third-party platforms
Our services operate within third-party platforms, primarily Amazon. We are not responsible for actions, outages, policy changes, account suspensions, or decisions made by Amazon or other third parties.
9. Limitation of liability
To the maximum extent permitted by law, Onvyro Digital will not be liable for any indirect, incidental, or consequential losses, or for lost profits or revenue, arising from your use of the Site or our services. Our total liability for any claim relating to a service will not exceed the fees you paid us for that service in the preceding three (3) months.
10. Termination
Either party may end an engagement in line with the notice terms set out in the Service Agreement. Fees for work performed up to the termination date remain payable.
11. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date reflects the current version, and continued use of the Site after changes means you accept the updated Terms.
